TeachX Tutor Terms and Conditions

1. Introduction
1.1 Overview
TeachX is a platform that connects tutors with students for both online and in-person lessons. By registering as a tutor, you agree to these terms and conditions. These terms apply to all Tutors and all other freelancers providing services on TeachX.
1.2 Company Information
TeachX is owned and operated by TeachX Platforms Pte. Ltd., 68 CIRCULAR ROAD, #02-01, SINGAPORE 049422. For contact information, please refer to our website.
1.3 Registration and Agreement
By registering as a tutor on teachx.net, you agree to be bound by these terms and conditions. Please read them carefully before agreeing. If you do not agree, do not register or use the TeachX platform.
1.4 Definitions
Certain words are defined in the Definitions section at the end of these terms and conditions and are capitalized throughout.
2. TeachX Rights & Responsibilities
2.1 Platform Provision
TeachX facilitates connections between tutors and students, providing a platform for advertising services, booking lessons, and processing payments. TeachX does not act as an employer or agent for any tutor or student but simply provides the means for the two parties to connect and transact.
2.2 Website Maintenance and Service Availability
TeachX aims to maintain a functional website, including communication systems, booking platforms, and an online classroom. However, we cannot guarantee constant availability. The platform may experience downtime or technical issues from time to time. TeachX may occasionally take the website offline for maintenance and updates, and notifications will be provided in advance where possible.
2.3 Security Measures
TeachX uses reasonable endeavors to keep the platform secure from viruses and other threats. However, users are responsible for their own security measures, such as using antivirus software and securing their devices.
2.4 Identity Verification
TeachX verifies the identity of tutors and conducts background checks as needed. If a student is concerned about a tutor, they should not meet them alone and report concerns to TeachX immediately. TeachX does not guarantee the accuracy or completeness of the information provided by tutors during the registration process.
2.5 Profile Approval and Communication
TeachX decides when a tutor’s profile is complete and can be made live on the platform. TeachX will communicate bookings, confirmations, and cancellations to both students and tutors via the platform and email.
2.6 Payment Processing
TeachX facilitates the collection of payments from Students. TeachX endeavors to process tutor payouts promptly following a withdrawal request initiated by the Tutor. Payouts are processed via direct bank transfer to the Tutor's designated bank account. TeachX aims to process these withdrawals as soon as possible, within a maximum of 30 calendar days from the request date, provided there are no outstanding disputes related to the funds. Tutors must provide accurate bank account information to facilitate these transfers. TeachX is not responsible for delays or failed transfers due to incorrect bank details provided by the Tutor.
2.7 Complaints and Refunds
TeachX handles complaints and refunds according to these terms and conditions. Disputes over payments and refunds are handled by TeachX, and tutors must comply with the outcome of these disputes.
2.8 Information Protection
TeachX takes appropriate measures to protect user information. TeachX monitors postings and messages on the platform to prevent misuse and ensures compliance with its terms.
2.9 Modifications to Service
TeachX reserves the right to modify or discontinue, temporarily or permanently, the platform or any part thereof with or without notice. You agree that TeachX will not be liable to you or any third party for any modification, suspension, or discontinuance of the platform.
3. Tutor Responsibilities
3.1 Legal and Age Requirements
Tutors must be legally entitled to work in their jurisdiction and be at least 18 years old. Tutors are responsible for ensuring they possess the relevant immigration status where applicable.
3.2 Criminal Convictions Disclosure
Tutors must disclose any criminal convictions or cautions they may have, including any received after registering as a tutor on the TeachX platform. Failure to disclose such information may result in termination of the tutor’s account.
3.3 Security and Safety
Tutors are responsible for their own security both online and offline when using TeachX services. For in-person lessons, tutors must ensure the safety and appropriateness of the lesson location. Tutors should avoid meeting students in private or unsafe locations.
3.4 Content Accuracy and Independent Status
Tutors must ensure the information they provide on their profiles is accurate and updated regularly. Tutors are not employees of TeachX and are responsible for their own actions and compliance with legal requirements.
3.5 Insurance
Tutors are advised to obtain and maintain appropriate insurance for their activities. This may include professional liability insurance or general liability insurance.
3.6 Setting Fees and Payment
Tutors set their own lesson fees but must not undercut TeachX by offering lower rates for the same services directly to TeachX Students outside the platform. Payments due to the Tutor will be processed via direct bank transfer. Tutors must ensure they provide accurate and valid bank account details through their TeachX profile to receive payments. Tutors acknowledge that they are responsible for any fees charged by their own receiving bank.
3.7 Booking, Messaging, and Attendance
Tutors must make and confirm bookings through the platform and respond to messages promptly. Tutors must be punctual for lessons and notify students of any delays or cancellations.
3.8 Lesson Recording
All online lessons are recorded and may be used by TeachX for quality assurance and compliance. Tutors must agree to this as part of their use of the platform.
3.9 Verification and Background Checks
TeachX may request tutors to provide government-issued identification and documents confirming educational credentials. TeachX may conduct background checks and utilize third-party consumer reporting agencies for criminal background checks, sex offender registry checks, and other verifications. Tutors must provide evidence of background checks when requested.
3.10 Payment and Refund Policies
Tutors are paid based on completed lessons minus applicable fees and commissions. Payouts are initiated upon the Tutor requesting a withdrawal through the platform interface. TeachX aims to process withdrawals within a maximum of 30 days, though typically sooner. A fixed withdrawal charge, clearly indicated on the withdrawal request page, will be applied to each withdrawal. Tutors are responsible for any additional charges imposed by their own bank for receiving funds. For any lessons or services booked as a result of a partnership arrangement (including but not limited to schools, affiliates, sales partners, institutes, counsellors, universities, influencers, or any entity collaborating via the TeachX partner portal, often identified through specific links or coupon codes), a 15% commission will be deducted from the total amount payable to the Tutor for that specific transaction. TeachX handles failed payments and payment disputes according to the platform’s policies. Tutors may be responsible for providing necessary information to resolve payment issues promptly. Refunds to Students, to the fullest extent permitted by law, are at TeachX’s sole discretion, and Tutors must comply with TeachX's decisions regarding refunds which may affect their payout.
3.11 Cancellation and Missed Lesson Policies
Tutors can cancel bookings but must notify the student and TeachX promptly. Repeated cancellations may result in account suspension. Tutors must inform students at least 24 hours in advance for any cancellations. Failure to do so may result in penalties or fees. Tutors must attempt to contact the student and provide evidence of the attempt before marking a lesson as missed. Tutors may be liable to refund fees for missed lessons without valid reasons.
3.12 Child Protection
For lessons involving minors, tutors must ensure a responsible adult guardian is present at all times during the session within close proximity to ensure appropriate safety precautions are undertaken. Tutors must report any safety or child protection concerns to TeachX immediately.
3.13 Complaint Handling and Dispute Resolution
Formal complaints must be submitted in writing to TeachX support. TeachX will review and mediate the dispute according to its policies and procedures. TeachX aims to respond to complaints within 10 business days and resolve them within 30 business days, depending on the complexity and nature of the complaint. Disputes between tutors and students should be resolved informally first. If not possible, they can be escalated to TeachX support.
3.14 Intellectual Property Rights
Tutors retain ownership of the content they create and upload to TeachX. By uploading content, tutors grant TeachX a non-exclusive, royalty-free license to use, distribute, and display the content for platform-related purposes. All content provided by TeachX, including course materials, platform features, and branding, is the intellectual property of TeachX and may not be used without permission.
3.15 Privacy and Data Protection
TeachX collects and uses personal data in accordance with its Privacy Policy. Tutors agree to the collection, use, and sharing of their data as described in the policy. Tutors must keep all personal and sensitive information about students confidential and must not share it with third parties without explicit consent, except where required by law. Tutors must keep any non-public information about TeachX's operations, technology, or business practices confidential and must not disclose it to third parties without explicit permission.
3.16 Marketing and Promotions
TeachX provides marketing tools to help tutors promote their courses. Tutors agree to use these tools in accordance with TeachX guidelines. Tutors can run promotional campaigns through the TeachX marketing portal. TeachX reserves the right to review and approve all promotional content.
3.17 Review and Feedback System
Tutors acknowledge that they will receive reviews and ratings from students. TeachX will use these reviews to help improve the platform and tutor services. Tutors are encouraged to respond professionally to student feedback. Negative reviews should be addressed constructively.
3.18 Non-Solicitation and Non-Compete Clauses
Tutors agree not to solicit TeachX students for private lessons outside the platform or for any other services. All courses and programs provided through TeachX must be unique to the platform. Tutors must not engage in unfair pricing or offer identical courses through other platforms at lower rates. Tutors agree not to offer identical courses or services they provide on TeachX through any other platform or directly to students outside of TeachX. Violation of this clause may result in immediate termination of the tutor's account.
3.19 User Conduct and Restrictions
Tutors must not:
- Upload, post, email, or otherwise transmit any content that infringes any intellectual property or other proprietary rights of any party.
- Upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
- Engage in any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
- Violate any applicable local, state, national, or international law.
3.20 Termination and User Disputes
TeachX reserves the right to suspend or terminate your account for any violation of these terms. TeachX may refer any suspected fraudulent, abusive, or illegal activity to the appropriate authorities. TeachX may become involved in disputes between users at its discretion but has no obligation to do so.
4. Payments and Fees
4.1 Service Fee
TeachX charges a software-as-a-service (SaaS) platform fee to the Customer (Student) for the Customer’s use of the TeachX platform. This customer-facing platform fee may be presented as a markup at checkout and is paid by the Customer; it is not deducted from the Tutor’s earnings. This fee supports platform access, operation, maintenance, and support for Customers.
4.2 Payment Processing
(a) Method: Payments due to Tutors for completed lessons (minus applicable deductions) are processed via direct bank transfer to the bank account details provided by the Tutor on their TeachX profile. (b) Initiation: Tutors must initiate a withdrawal request through the designated section on the TeachX platform to receive their accrued earnings. (c) Timing: TeachX will endeavor to process withdrawal requests as soon as reasonably possible, with a maximum processing time of 30 calendar days from the date the withdrawal request is submitted, barring any pending disputes or required clarifications. (d) Tutor Responsibility: Tutors are solely responsible for providing and maintaining accurate bank account information. TeachX is not liable for failed or delayed payments resulting from incorrect or outdated bank details.
4.3 Failed Payments
If a payout transfer fails due to issues such as incorrect bank details provided by the Tutor, TeachX will notify the Tutor. The Tutor must provide corrected information promptly. The 30-day processing window may reset upon receipt of corrected information. TeachX is not responsible for funds lost due to incorrect information provided by the Tutor.
4.4 Disputes and Refunds
Disputes over payments (including amounts earned, deductions, and commissions) and refunds issued to Students are handled by TeachX in accordance with these Terms and Conditions and relevant platform policies. Tutors agree to cooperate in any investigation and must comply with the final outcome determined by TeachX, which may impact their payable earnings.
4.5 Withdrawal Charges
(a) Fixed Withdrawal Charge: TeachX applies a fixed withdrawal charge for each payout processed. The exact amount of this charge will be clearly displayed to the Tutor on the withdrawal interface before they confirm the request. (b) Receiving Bank Fees: Tutors are responsible for any fees or charges imposed by their own bank or intermediary banks for receiving international or domestic wire transfers. TeachX's responsibility ends upon initiating the transfer according to the provided instructions.
4.6 Partner Commission
(a) Affiliate Partner Network: TeachX operates an Affiliate Partner Network. Where a transaction (lesson, class, course, package, event, etc.) is attributed to a Partner in this network, a Partner Commission may be deducted from the Tutor’s earnings for that transaction. (b) Commission Rate and Pool: The Partner Commission is up to fifteen percent (15%) of the pre-discount Tutor Services Price when no Discount is applied. The combined effect of (i) any Discount(s) applied by TeachX to the Tutor Services Price and (ii) the Partner Commission will not exceed fifteen percent (15%) of the pre-discount Tutor Services Price for any Tutor-based transaction. TeachX may proportionally reduce the Partner Commission and/or Discount to ensure the combined amount does not exceed this fifteen percent (15%) pool. (c) Calculation Basis; Order: Unless otherwise specified, the Partner Commission is calculated in accordance with the order of calculation in Section 4.7, after any Discount and allocation of Payment Processing Fees, and before the fixed withdrawal charge. (d) Attribution and Frequency: Attribution may occur via unique links, coupon codes, cookies, partner portal identifiers, or other tracking mechanisms implemented by TeachX. TeachX may apply a Partner Commission on any attributed transaction, including on multiple transactions from the same Student, subject to program terms and the fifteen percent (15%) pool in this Section.
4.7 Tutor Payout Calculation and Deduction Order (Transparency)
(a) Customer-Facing Fees: Any TeachX service or platform fees charged to the Customer are separate charges paid by the Customer and do not reduce the base used to calculate the Tutor's earnings. They are excluded from revenue-share and commission calculations applicable to Tutors.
(b) Promotional Discounts: TeachX may, at its discretion, apply promotional or marketing discounts to the Tutor Services Price. For Tutor transactions, such Discounts, if any, will not exceed five percent (5%) of the pre-discount Tutor Services Price.
(c) Payment Processing Fees: Payment processing fees (e.g., card processor/network fees) are assessed by the payment processor on the total amount paid by the Customer at checkout. For purposes of internal settlement, TeachX allocates the processor's fee against the Tutor Services Price portion before commissions and payouts are calculated.
(d) Partner Commission: Where a transaction is attributed to a TeachX Partner within the Affiliate Partner Network, the Partner Commission will be applied in accordance with Section 4.6.
(e) Withdrawal Charge: The fixed withdrawal charge described in Section 4.5 is applied at the time of payout.
(f) Order of Calculation: Unless otherwise specified, TeachX applies the following order to determine the payout due to the Tutor for a completed transaction: (i) apply any Discount to the Tutor Services Price; (ii) allocate and deduct Payment Processing Fees from the discounted Tutor Services Price; (iii) deduct any applicable Partner Commission; (iv) deduct the fixed withdrawal charge; (v) the remainder of the Tutor Services Price after items (i)-(iv) is payable to the Tutor (the "Tutor Payout").
(g) Combined Cap: For Tutor transactions, the combined effect of (i) Discounts applied to the Tutor Services Price and (ii) any Partner Commission attributable to the transaction shall not exceed fifteen percent (15%) of the pre-discount Tutor Services Price. Where no Discount is applied, the Partner Commission may be up to fifteen percent (15%) in accordance with Section 4.6.
4.8 Non-Completion; Hold, Freeze, and Refund Recovery
(a) Hold Period. Following delivery of any Tutor offering (including, without limitation, lessons, trials, packages, courses, classes, workshops, events, milestones, or other services), the portion of the Tutor Payout attributable to that delivered item is subject to a minimum five (5) day hold period before eligibility for release. This hold allows time for Students to report non-delivery or material issues. During the hold, funds remain pending and are not disbursed.
(b) Freeze on Undelivered Portion. If a Tutor ceases, fails, or refuses to complete an accepted package or course (in whole or in part), all amounts attributable to any undelivered sessions or milestones (including amounts currently pending within the hold period) are immediately ineligible for release and will be frozen for the purpose of refunds, credits, or other remedies for the Student(s).
(c) Clawback of Amounts Already Paid. To the extent any amounts attributable to undelivered sessions or milestones have already been paid out to the Tutor, the Tutor must return such amounts within seven (7) days of written demand so that TeachX can process refunds, credits, or other remedies for the Student(s). The Tutor authorizes TeachX to (i) set off any such amounts (including related payment-processor or chargeback fees) against the Tutor’s current or future payouts, (ii) create a negative balance and recover it from subsequent payouts, and/or (iii) debit any payout method on file, where permitted by law. Any unpaid amounts remain due and payable and may be collected by TeachX.
(d) Chargebacks. If a chargeback, reversal, or similar adjustment occurs relating to an undelivered or non-completed portion, the Tutor is liable for the corresponding amount and any associated payment-processor fees, chargeback fees, or bank fees allocable to that portion. TeachX may exercise the set-off and recovery rights described in Section 4.8(c).
(e) Recovery Costs. The Tutor is responsible for all reasonable costs incurred by TeachX to administer refunds, credits, chargebacks, reversals, and recovery of amounts described in this Section, including payment-processor fees, bank fees, collection costs, and reasonable legal fees.
(f) No Limitation. The remedies in this Section are in addition to any other rights or remedies available to TeachX or the Student(s) under these Terms or applicable law.
5. Cancellations
5.1 Tutor and Student Cancellations
Tutors and students can cancel bookings according to TeachX’s cancellation policy. Tutors can cancel bookings but must notify the student and TeachX promptly. Repeated cancellations may result in account suspension. Tutors must inform students at least 24 hours in advance for any cancellations. Failure to do so may result in penalties or fees. Tutors must attempt to contact the student and provide evidence of the attempt before marking a lesson as missed. Tutors may be liable to refund fees for missed lessons without valid reasons.
6. Child Protection
6.1 Legal Compliance
Tutors must comply with relevant child protection laws and report any concerns to TeachX immediately. For lessons involving minors, a responsible adult must be present during the session. Tutors must report any safety or child protection concerns to TeachX immediately.
7. Intellectual Property
7.1 Content Rights
Tutors grant TeachX a non-exclusive license to use, modify, and distribute their content for platform purposes. Tutors retain ownership of the content they create and upload to TeachX. By uploading content, tutors grant TeachX a non-exclusive, royalty-free license to use, distribute, and display the content for platform-related purposes. All content provided by TeachX, including course materials, platform features, and branding, is the intellectual property of TeachX and may not be used without permission.
8. Termination
8.1 Termination by TeachX
TeachX reserves the right to suspend or terminate a tutor’s account for breaches of these terms and conditions.
8.2 Termination by Tutor
Tutors can terminate their account at any time but must honor any outstanding bookings.
9. Governing Law and Jurisdiction
9.1 Legal Framework
These terms and conditions are governed by the laws of the jurisdiction where TeachX operates.
10. Definitions
10.1 Key Definitions
- Booking: The process of scheduling a lesson through the TeachX platform.
- Tutor Services Price (also referred to in these Terms as the "Lesson Fee" where context requires): The price set by the Tutor for any Tutor offering (including one-to-one lessons, courses, packages, classes, workshops, or events), exclusive of any TeachX customer-facing service fees or taxes, and before any Discounts, Payment Processing Fees, Partner Commission, or withdrawal charges.
- Online Classroom: The virtual space provided by TeachX for conducting online lessons.
- Service Fee: A software-as-a-service (SaaS) platform fee charged to the Customer for their use of the TeachX platform; it is a customer-facing fee and is not deducted from Tutor payouts.
- Tutor: A registered user of the TeachX platform who offers educational services to students.
- Student: A registered user of the TeachX platform who books lessons with tutors.
- User: Any individual who uses the TeachX platform, including tutors, students, and.
11. Code of Conduct
11.1 Professional Behavior and Respectful Communication
Tutors must maintain a professional demeanor at all times when interacting with students and parents, both online and in person. Tutors must communicate respectfully and courteously with students, parents, and TeachX staff. Any form of abusive, harassing, or inappropriate communication is strictly prohibited.
11.2 Academic Integrity
Tutors must uphold academic integrity and should not complete or intend to complete coursework, exams, or any similar assignments on behalf of students.
11.3 Feedback and Ratings
Tutors must not manipulate or attempt to influence student ratings and reviews. Tutors acknowledge that they will receive reviews and ratings from students. TeachX will use these reviews to help improve the platform and tutor services. Tutors are encouraged to respond professionally to student feedback. Negative reviews should be addressed constructively.
12. Safety and Compliance
12.1 Background Checks and In-Person Safety
Tutors must undergo a background check before being allowed to offer their services on the TeachX platform. TeachX reserves the right to conduct additional checks as deemed necessary. Tutors must ensure that in-person sessions take place in safe, public, or appropriately vetted locations. Tutors should avoid meeting students in private residences unless another responsible adult is present.
12.2 Reporting Concerns
Any safety concerns, misconduct, or breaches of these terms must be reported to TeachX immediately. Tutors are responsible for ensuring a safe and supportive learning environment.
13. Privacy and Data Protection
13.1 Data Collection and Use
TeachX collects and uses personal data in accordance with its Privacy Policy. Tutors agree to the collection, use, and sharing of their data as described in the policy.
13.2 Confidentiality and Class Recordings
Tutors must keep all personal and sensitive information about students confidential and must not share it with third parties without explicit consent, except where required by law. TeachX records all online lessons for quality assurance, compliance, and improvement purposes. Tutors consent to these recordings and their use by TeachX.
14. Dispute Resolution
14.1 Informal Resolution and Arbitration
TeachX encourages the resolution of disputes informally through direct communication between tutors and students. If this is not possible, disputes can be escalated to TeachX support. Formal complaints must be submitted in writing to TeachX support. TeachX will review and mediate the dispute according to its policies and procedures. TeachX aims to respond to complaints within 10 business days and resolve them within 30 business days, depending on the complexity and nature of the complaint. Disputes between tutors and students should be resolved informally first. If not possible, they can be escalated to TeachX support. Any disputes that cannot be resolved informally will be subject to binding arbitration conducted in accordance with the laws of the jurisdiction where TeachX operates. Tutors agree to waive their right to a trial by jury and to participate in a class action lawsuit. Arbitration will be conducted in the jurisdiction where TeachX operates, unless otherwise agreed by both parties. Tutors agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit.
15. Modifications to Terms
15.1 Changes to Terms
TeachX reserves the right to modify these terms and conditions at any time. Significant changes will be communicated via email or through the TeachX platform. Continued use of the platform after changes are posted constitutes acceptance of the new terms.
16. Limitation of Liability
16.1 No Liability for Student Actions and Platform Availability
TeachX is not liable for the actions or omissions of students. Tutors engage with students at their own risk. TeachX does not guarantee that the platform will always be available or error-free. Tutors acknowledge that the platform may experience downtime or technical issues.
16.2 Indemnity
Tutors agree to indemnify and hold harmless TeachX from any claims, damages, or expenses arising from their use of the platform or breach of these terms. Tutors agree to cooperate with TeachX in defending such claims and not to settle any claim without TeachX's written consent.
16.3 Disclaimer of Warranties and Limitation of Liability
TeachX provides the platform "as is" and without any warranty or guarantee. TeachX disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event will TeachX be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the platform.
17. Governing Law
17.1 Jurisdiction
These terms and conditions are governed by the laws of the Republic of Singapore. Any legal proceedings arising from these terms will be conducted in the courts of Singapore.
18. Miscellaneous
18.1 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18.2 Entire Agreement and Waiver
These terms constitute the entire agreement between tutors and TeachX regarding the use of the platform and supersede any prior agreements or understandings. The failure of TeachX to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.
